The law treats business-to-business contracts differently than it does business-to-consumer contracts. The Distance Selling Regulations no longer actually apply in UK law. They were replaced by the <strong>Consumer Contracts Regulations <\/strong>&#8211; which came into force in the UK in June 2014 &#8211; and apply when making purchases. It is a bit of a minefield. Is the customer always right? Do they always get their money back? We\u2019ve put together this handy guide to try and answer some of those questions.<\/p>\n<p><strong>What is B2B<\/strong><br \/>\nB2B is selling business to business, sometimes known as e-biz. One business sells or provides products, services or information (aka e-commerce) to other businesses or companies, rather than to consumers. This business will transfer raw materials, parts and components to other businesses or companies who will then make additional profit from them. They may manufacture new products or they will sell to consumers. So for example, perhaps you sell organic flour. You sell that flour to bakeries who bake bread and cakes \u2013 that\u2019s B2B.<\/p>\n<p>B2B on the whole tends to be high volume, and you are likely to need a different business set up and infrastructure to cope with your sales than a B2C does. Your \u2018shop window\u2019 will be markedly different to a B2C, and you may rely on trade conferences and magazines, digital marketing etc.<\/p>\n<p><strong>What is B2C?<\/strong><br \/>\nB2C, or business-to-consumer, is where businesses sell products or services to consumers. This applies to businesses at the coal face of retail, such as clothes shops, restaurants, electrical goods shops, bookshops, as well as to businesses supplying services to people \u2013 chimney sweep, plumbers, subscribing to pay-per-view TV at home etc. <\/p>\n<p>The term B2C also refers to the online selling of products, or \u2018e-tailing\u2019 or \u2018e-commerce\u2019, in which manufacturers or retailers sell their products to consumers over the Internet.<\/p>\n<p><strong>Sale of Goods Act &#038; Supply of Goods and Services Act<\/strong><br \/>\nMost of the Sale of Goods Act and the Supply of Goods and Services Act, which provides the buyer with rights in cases of faulty goods, mis-described goods or substandard services, also applies to business-to-business contracts.<\/p>\n<p>However, bear in mind that liability may be limited or excluded by the terms and conditions of a business-to-business contract.<\/p>\n<p><strong>Returning items<\/strong><br \/>\nSo just what is the difference between B2B and B2C long distance selling regulations? There\u2019s a lot of confusion. If a person returns an item to the store because they\u2019ve changed their mind, then they are usually entitled to get a refund. Can that business ask for a refund from the B2B who sold them the goods in the first place?<\/p>\n<p>If you\u2019re selling goods or services online in the UK, then you need to make yourself aware of the Distance Selling (now Consumer Contracts) regulations. These regulations were created to encourage confidence among consumers who use the internet to purchase goods.<br \/>\nB2B are exempt from the Consumer Contracts (formerly Distance Selling) regulations. But must still comply with the E-commerce regulations, which apply to any sales made electronically. What does that mean in practice?<\/p>\n<p>The Consumer Contracts regulations means that if you sell to businesses then you are entitled to have your own returns\/cancellation policy in your contract with a buyer. This is normally known as your own Terms of Service \u2013 it must be clearly stated &#8211; and you must abide by it. You should ensure your Terms of Service is clear about your returns policy, and you must make sure your business customers are aware of what it says.<\/p>\n<p>This means that while B2C customers are almost always entitled to a refund or exchange, you may \u2013 as B2B \u2013 state that no refunds will be given as you are exempt for Consumer Contracts (formerly distance selling) regulations.<\/p>\n<p><strong>The Consumer Protection (Distance Selling) Regulations 2000<\/strong><br \/>\nUnder the Consumer Protection (Distance Selling) Regulations 2000, as amended, a buyer is, in certain circumstances, entitled to receive a refund if they change their mind.  These regulations apply to both goods and services, where the contract is made between a supplier (a seller acting in the course of a business) and a consumer (a non-business buyer) and there is no face-to-face contact between them.  That\u2019s B2C.<\/p>\n<p>These Consumer Protection (Distance Selling) Regulations 2000 apply to the majority of internet sales.<\/p>\n<p><strong>What is exempt from the Consumer Protection (Distance Selling) Regulations 2000<\/strong><br \/>\n1.\tBusiness-to-business contracts<br \/>\n2.\tFinancial services sold at a distance (However, these are covered by the Financial Services (Distant Marketing) Regulations)<br \/>\n3.\tContracts for the sale of land<br \/>\n4.\tProducts bought from vending machines<br \/>\n5.\tGoods or services bought at an auction with an auctioneer. <\/p>\n<p>In this instance eBay is <strong>NOT <\/strong>an auction site (not according to EU directives at any rate), and in any case \u201cBuy It Now\u201d listings and \u201cSecond Chance Offers\u201d will never be regarded as auctions. <\/p>\n<p><strong>Where you are a business selling B2C, the consumer has a number of rights:<\/strong><br \/>\nA cooling off period \u2013 where the consumer can change their mind (usually 7 days from receipt of any goods and 7 days from the order of services). Occasionally the cooling off period is for 3 months. <\/p>\n<p>This cooling off period does not apply to the following:<br \/>\n\u2022\tBespoke goods: i.e. Goods made to the customer\u2019s specification<br \/>\n\u2022\tPerishable items: fresh food and flowers<br \/>\n\u2022\tCDs, DVDs and tapes once the packaging has been unsealed<br \/>\n\u2022\tNewspapers and magazines<br \/>\n\u2022\tBetting, gaming and lotteries<\/p>\n<p><strong>Refunds<\/strong><br \/>\nWhere the Consumer Protection (Distance Selling) Regulations 2000 apply and a consumer notifies the supplier in writing or in another durable medium and before the end of the cooling off period that they wish to cancel the contract, they must receive a full refund within 30 days.<\/p>\n<p><strong>Return of goods<\/strong><br \/>\nWhere the Consumer Protection (Distance Selling) Regulations 2000 apply and a consumer notifies the supplier in writing or in another durable medium (i.e not in a phone call or face to face) before the end of the cooling off period that they wish to cancel the contract, the consumer is under a duty to take reasonable care of the goods and to \u201crestore\u201d them to the supplier.  <\/p>\n<p>Under the Consumer Protection (Distance Selling) Regulations 2000 a supplier is not able to demand that the consumer return the goods. The consumer\u2019s duty to restore the goods simply means that they must make the goods available for collection by the supplier. <\/p>\n<p>However, the Consumer Protection (Distance Selling) Regulations 2000 allow a supplier to include in the contract a term requiring the consumer to return the goods to their supplier at the consumer\u2019s cost.  <\/p>\n<p>The supplier is only allowed to charge for recovery of the goods if the consumer exercises his right to cancel the contract within the cooling off period and if there is a provision in the contract allowing the supplier to make such a charge. If the consumer has the right to cancel the contract under other legislation, for example under the Sale of Goods Act 1979, as amended, because the goods are defective, the supplier is not permitted to charge for the recovery of the goods.<\/p>\n<p><strong>What if a supplier refuses to give a refund or take back goods?<\/strong><br \/>\nThe Office of Fair Trading and the Trading Standards Departments of local authorities in England and Wales have the responsibility for enforcing the Consumer Protection (Distance Selling) Regulations 2000.  <\/p>\n<p><strong>The Electronic Commerce (EC Directive) Regulations 2002<\/strong><br \/>\nIf you are a B2B then you must comply with the Electronic Commerce (EC Directive) Regulations 2002. These regulations came into force in August 2002 and implement the European Union\u2019s E-Commerce Directive into UK law in order to protect the rights of consumers. <\/p>\n<p>The E-Commerce Regulations apply to an \u201cinformation society service\u201d defining it as \u201cany service normally provided for remuneration at a distance, by means of electronic equipment for the processing (including digital compression) and storage of data, at the individual request of a recipient of the service.\u201d This means e-sales, offering for sale (advertising) online or by other electronic means (TV, phone, advertising hoardings etc. etc.)<\/p>\n<p>The<strong> Electronic Commerce (EC Directive) Regulations 2002 <\/strong>therefore cover<br \/>\n\u2022\tBusiness that sell goods or services to businesses or consumers over the internet, or by email or by text messages. That\u2019s B2B and B2C.<br \/>\n\u2022\tBusinesses that advertise on the internet, by email or by text messages<br \/>\n\u2022\tBusiness that convey or store electronic content for customers or provide access to a communications network<br \/>\n\u2022\tDirect marketing by telephone or by fax is not covered by the E-Commerce Regulations. <\/p>\n<p>What requirements do the Electronic Commerce (EC Directive) Regulations 2002 place on businesses? <\/p>\n<p><strong>You must provide the following information when selling:<\/strong><br \/>\n\u2022\tThe name of the service provider<br \/>\n\u2022\tThe email address of the service provider<br \/>\n\u2022\tDetails of any trade association which the business is part of<br \/>\n\u2022\tVAT Number<br \/>\n\u2022\tClear and unambiguous prices<\/p>\n<p><strong>UK companies who are trading online must also pay attention to the Companies Act 2006 which states that the following information should also be made available on websites:<br \/>\n<\/strong><br \/>\n\u2022\tThe registered office address<br \/>\n\u2022\tCompany registration number<br \/>\n\u2022\tPlace of registration <\/p>\n<p>If you are sending emails and text messages for advertising or selling purposes, you must include the following information:<br \/>\n\u2022\tThat the communication is a commercial one<br \/>\n\u2022\tThe name of the person on whose behalf the communication is being sent<br \/>\n\u2022\tIf the communication is a promotional offer or promotional competition<br \/>\n\u2022\tIf the communication is unsolicited (spam) it must be identifiable as such from the subject line of the email without the need to read the body of the email text. <\/p>\n<p>You must also provide the customer with the ability to print and store a copy of your terms and conditions of sale. <\/p>\n<p>The E-Commerce Regulations state that consumers placing orders online must be able to:<br \/>\n\u2022\tHave access to the technical steps to follow in order to conclude the contract<br \/>\n\u2022\tSee whether or not the contract will be filled and how to access it<br \/>\n\u2022\tHave the technical means in order to identify and correct input errors prior to placing the final order<br \/>\n\u2022\tUnderstand the languages offered for the conclusion of the contract<br \/>\n\u2022\tHave access to specific codes of conduct where relevant<br \/>\n\u2022\tAccess the terms and conditions of sale on the website  <\/p>\n<p><strong>Where does this leave you in practice?<\/strong><br \/>\nIf you are a business who bought from a business (the recipient of B2B) then you are held to the terms and conditions. If they say \u2018no refunds\u2019 then you are doomed. If you bought goods from a business as a consumer, then you have rights.<\/p>\n<p>If you are a business who bought a laptop to use in your business, this is B2C and you can return it under the conditions listed above.<\/p>\n<p><a href=\"https:\/\/www.wholesaleclearance.co.uk\/blog\/wp-content\/uploads\/2016\/06\/Distance.jpg\"><img loading=\"lazy\" decoding=\"async\" src=\"https:\/\/www.wholesaleclearance.co.uk\/blog\/wp-content\/uploads\/2016\/06\/Distance.jpg\" alt=\"Distance\" width=\"225\" height=\"225\" class=\"aligncenter size-full wp-image-2350\" srcset=\"https:\/\/www.wholesaleclearance.co.uk\/blog\/wp-content\/uploads\/2016\/06\/Distance.jpg 225w, https:\/\/www.wholesaleclearance.co.uk\/blog\/wp-content\/uploads\/2016\/06\/Distance-150x150.jpg 150w, https:\/\/www.wholesaleclearance.co.uk\/blog\/wp-content\/uploads\/2016\/06\/Distance-45x45.jpg 45w\" sizes=\"auto, (max-width: 225px) 100vw, 225px\" \/><\/a><br \/>\nIf you are a business that bought 400 pairs of superman pants, and you change your mind because you prefer Spiderman, you\u2019re unlikely to convince your supplier that they were for personal use.
